Company Says Rani Kapur Has Not Been a Shareholder Since 2019 Amid Dispute Over Board Decisions and AGM Postponement
A fresh twist has emerged in the high-stakes family feud within the ₹30,000 crore Kapur family-owned Sona Group, as Sona BLW Precision Forgings Ltd denied claims made by Rani Kapur, mother of former Chairman Sunjay Kapur, that she holds majority shareholding in the company.
Earlier on Friday, Ms Kapur sent a letter to the company’s board, claiming she is a majority shareholder and demanded that the Annual General Meeting (AGM) scheduled for the afternoon be postponed. However, the company swiftly responded with an official stock exchange filing, stating that Rani Kapur has not been a shareholder since 2019.
🔹 What Triggered the Dispute?
- Rani Kapur’s Letter: She alleged being coerced into signing documents, and objected to the appointment of individuals who “claimed to represent the family”, especially Priya Sachdev Kapur, her daughter-in-law and wife of the late Sunjay Kapur.
- Demand to Postpone AGM: Ms Kapur urged the company to delay the meeting, citing lack of transparency and her exclusion from key decisions.
🔹 Company’s Response: Key Highlights
- No Shareholding Since 2019
The company stated that in May 2019, a “declaration of significant beneficial ownership” was submitted identifying Sunjay Kapur as the sole beneficial owner, effectively ending Ms Kapur’s shareholder status. - Priya Sachdev Kapur’s Appointment
The appointment of Priya Sachdev Kapur as Non-Executive Director was legally proposed, reviewed, and approved. The board maintained due process was followed. - No Recent Signatures from Rani Kapur
The company clarified that no documents had been signed or acquired from Ms Kapur following the passing of Sunjay Kapur. - Legal Counsel Consulted
Out of respect, the board sought legal guidance before deciding not to defer the AGM, given Ms Kapur holds no legal authority as a shareholder.
🔹 Rani Kapur’s Allegations and Emotional Appeal
In her dramatic letter, Rani Kapur accused unknown parties of trying to seize control of her family’s legacy while she mourned the death of her son. She strongly objected to board appointments made without her consent, and claimed to have been informed of “gross illegalities” by close associates.
“No decisions must be taken without my consent,” she insisted, warning against any actions that may undermine the family’s original interests.
🔹 Background: Who’s Who in the Kapur Family Drama?
- Sunjay Kapur: A respected automotive business leader and former chairman of the Sona Group.
- Karishma Kapoor: Bollywood actress and ex-wife of Sunjay Kapur.
- Priya Sachdev Kapur: Model and current wife of Sunjay Kapur; now appointed as a non-executive director on the board.
🔸 What’s Next?
As the AGM proceeds without delay, tensions within the influential Kapur family appear far from over. With claims of coercion, exclusion, and legal grey areas, the family dispute could potentially take a more public and legal turn in the coming days.
